Welcome to ER Inc Tech.
These Terms & Conditions govern the use of the ER Inc Tech website and the provision of services by ER Inc Tech, a South African website design and digital solutions business based in the East Rand area.
By accessing this website, requesting our services, accepting a quotation, placing an order, or otherwise engaging ER Inc Tech for services, you acknowledge that you have read, understood and agreed to these Terms & Conditions.
If you do not agree with these Terms & Conditions, please do not use our website or services.
1. About ER Inc Tech
ER Inc Tech provides website design and digital solutions to individuals, home users, entrepreneurs and small businesses.
Our services may include:
- Website design and development
- WordPress website development
- Website redesigns and upgrades
- Website maintenance
- Website updates
- Website optimisation
- Website troubleshooting and support
- Website content implementation
- Theme and layout implementation
- Digital solutions and related services
The exact services provided will depend on the quotation, proposal, service agreement or other written arrangement between ER Inc Tech and the Client.
2. Definitions
For these Terms:
“ER Inc Tech”, “we”, “us” or “our” means ER Inc Tech.
“Client”, “you” or “your” means the person, business or organisation requesting or receiving services from ER Inc Tech.
“Website” means the ER Inc Tech website and any website developed, maintained, upgraded or supported by ER Inc Tech.
“Services” means the website design, development, maintenance, support and digital services provided by ER Inc Tech.
“Project” means a specific website or digital-services engagement agreed between ER Inc Tech and the Client.
3. Acceptance of Services
Before work begins, ER Inc Tech may provide the Client with a quotation, proposal, scope of work or other written description of the requested services.
A Project may commence once the Client has:
- Accepted the quotation or proposal;
- Confirmed the required work in writing;
- Paid any applicable deposit or initial payment; and/or
- Provided the information or materials required for the Project.
Acceptance of a quotation or commencement of work constitutes acceptance of these Terms & Conditions unless a separate written agreement states otherwise.
4. Quotations and Pricing
Unless otherwise stated, quotations are based on the information and requirements available to ER Inc Tech at the time the quotation is prepared.
A quotation may include:
- Design and development work;
- Website configuration;
- Website updates or upgrades;
- Content implementation;
- Maintenance or support;
- Other services specifically listed in the quotation.
Work that falls outside the agreed scope may be treated as additional work and may result in additional charges.
Quotations may have an expiry date. If a quotation expires, ER Inc Tech may review the pricing before work begins.
5. Deposits and Payments
Where a deposit or upfront payment is required, work may only begin once the required payment has been received and cleared.
Unless otherwise agreed in writing:
- The Client is responsible for paying invoices by the due date;
- Additional work may be invoiced separately;
- Work may be paused where an account is overdue;
- ER Inc Tech may withhold delivery, publication, transfer or completion of work until outstanding amounts have been paid.
The payment terms applicable to a specific Project will be stated in the quotation, invoice or written agreement.
6. Scope of Work
ER Inc Tech will provide the services described in the agreed scope of work.
The Client is responsible for clearly communicating requirements and providing relevant information, content and materials.
Requests that substantially change the original scope may be treated as additional work.
Examples may include:
- Additional pages;
- Significant redesigns;
- New functionality;
- Additional integrations;
- Additional revisions;
- New content preparation;
- Additional website maintenance;
- Additional troubleshooting;
- Changes requested after approval.
Where practical, ER Inc Tech will advise the Client before carrying out significant additional work.
7. Client Responsibilities
The Client is responsible for providing accurate and lawful information, content, images, logos, documents and other materials required for the Project.
The Client confirms that they have the necessary rights or permissions to use material supplied to ER Inc Tech.
The Client must not provide material that:
- Infringes another person's intellectual-property rights;
- Is unlawful;
- Is misleading or fraudulent;
- Contains malicious software;
- Violates applicable laws or regulations; or
- Creates an unreasonable security or technical risk.
The Client is also responsible for providing timely feedback, approvals, access credentials and other information reasonably required to complete the Project.
8. Website Content
Where the Client supplies website content, the Client remains responsible for the accuracy, legality and ownership of that content.
ER Inc Tech may assist with formatting, uploading, editing or implementing content, but this does not transfer responsibility for the accuracy or legality of the underlying information to ER Inc Tech.
Unless specifically included in the agreed scope, professional copywriting, photography, legal advice, specialist compliance advice, translations and other third-party professional services may be charged separately.
9. Design Revisions and Approvals
The number of revisions included in a Project will depend on the quotation or agreed scope of work.
The Client should review designs, content and functionality carefully before providing approval.
Once a design, page or Project stage has been approved, further changes may be treated as additional work.
ER Inc Tech is not responsible for errors that arise from information or content approved by the Client.
10. Project Timelines
ER Inc Tech will make reasonable efforts to complete Projects within agreed or estimated timeframes.
Project timelines may be affected by:
- Delays in receiving content;
- Delays in receiving approvals;
- Changes to the Project;
- Delayed payments;
- Third-party services;
- Hosting or domain issues;
- Technical problems outside ER Inc Tech's reasonable control; or
- Other circumstances beyond our reasonable control.
Where delays occur because required information or approvals have not been provided, the Project timeline may be adjusted accordingly.
11. Third-Party Services
Website Projects may use third-party services, software, themes, plugins, hosting providers, domain registrars, payment services, email services, APIs or other technologies.
Third-party services are subject to their own terms, conditions, licences, pricing and privacy policies.
ER Inc Tech cannot guarantee the continued availability, functionality, pricing, compatibility or security of third-party services.
Where a third-party service requires a separate subscription or licence, the Client may be responsible for those costs unless otherwise agreed.
12. WordPress, Themes and Plugins
Where WordPress, themes, plugins or other third-party software are used, ER Inc Tech will work with the versions and licences available for the Project.
Third-party software may receive updates, become incompatible, be discontinued or change its functionality.
ER Inc Tech may recommend updates or replacements where reasonably necessary.
Unless specifically agreed, ER Inc Tech does not guarantee that every third-party plugin, theme or integration will remain compatible indefinitely.
13. Website Maintenance and Support
Website maintenance may include updates, content changes, troubleshooting, technical assistance, backups or other services depending on the selected maintenance arrangement.
Maintenance does not necessarily include every possible website problem or technical issue.
Unless expressly included in a maintenance agreement, the following may be treated as separate services:
- Major redesigns;
- New website sections;
- New functionality;
- Emergency recovery;
- Malware removal;
- Hosting migration;
- Domain recovery;
- Third-party service problems;
- Extensive troubleshooting;
- Development work outside the agreed maintenance scope.
14. Hosting and Domain Names
Where hosting or domain services are arranged through ER Inc Tech or a third party, the relevant provider's terms may also apply.
Domain names remain subject to the rules and policies of the applicable domain registrar or registry.
ER Inc Tech does not guarantee the availability of a particular domain name.
The Client is responsible for providing accurate registration information and ensuring that domain and hosting services remain paid and active where those services are the Client's responsibility.
15. Website Security
ER Inc Tech will take reasonable steps within the scope of the agreed services to assist with website security and maintenance.
However, no website or internet-connected system can be guaranteed to be completely secure.
Security may be affected by:
- Hosting infrastructure;
- Third-party plugins;
- Themes;
- Software vulnerabilities;
- Weak passwords;
- Compromised accounts;
- Outdated software;
- Third-party integrations;
- Server configuration; and
- Other factors outside ER Inc Tech's reasonable control.
Clients should use strong passwords and appropriate security practices.
16. Backups
Where backups are included in a service, ER Inc Tech will perform backups according to the applicable maintenance or service arrangement.
Unless expressly agreed, ER Inc Tech does not guarantee that every historical version of a website or every file can be restored.
Clients should maintain their own important copies of business information and website content where appropriate.
17. Intellectual Property
Unless otherwise agreed in writing, each party retains ownership of intellectual property that it owned before a Project began.
Client-supplied material remains the property of the Client or its respective owner.
Third-party software, themes, plugins, fonts, images, stock assets and other licensed materials remain subject to their respective licences.
Unless otherwise agreed, ER Inc Tech may retain ownership of its own original reusable development methods, processes, systems, code components, templates and technical know-how.
Upon full payment of the agreed Project fees, the Client will receive the rights to the final website deliverables that were specifically created for the Client, subject to third-party licences and any separate written agreement.
18. Portfolio and Promotional Use
Unless the Client specifically requests otherwise in writing, ER Inc Tech may identify completed work as part of its professional portfolio and may display screenshots or links to completed websites for promotional purposes.
ER Inc Tech will not intentionally publish confidential Client information as part of portfolio material.
Where a Client requires a Project to remain confidential, this should be agreed in writing.
19. Refunds and Cancellation
Cancellation and refund arrangements will depend on the stage of the Project and the work already completed.
Payments for work already performed, services already supplied, third-party purchases or non-refundable expenses may not be refundable where permitted by applicable law.
Where a Project is cancelled before completion, ER Inc Tech may invoice for work completed up to the cancellation date and for applicable committed costs.
Nothing in these Terms is intended to exclude any consumer rights that cannot lawfully be excluded.
20. Limitation of Liability
To the extent permitted by law, ER Inc Tech will not be responsible for indirect, incidental or consequential loss arising from circumstances outside its reasonable control.
This may include loss resulting from:
- Third-party hosting failures;
- Domain suspension or expiry;
- Third-party software failures;
- Plugin or theme incompatibility;
- Cybersecurity incidents;
- Internet outages;
- Loss caused by Client-supplied information;
- Unauthorised access to Client accounts;
- Third-party service changes; or
- Events beyond ER Inc Tech's reasonable control.
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
21. Acceptable Use
The ER Inc Tech website and services must not be used for unlawful, fraudulent, abusive or malicious purposes.
A Client must not knowingly use an ER Inc Tech service to distribute malware, conduct unauthorised activity, infringe intellectual-property rights or violate applicable law.
ER Inc Tech reserves the right to suspend or terminate services where continued provision would create a legal, security or technical risk.
22. Force Majeure
ER Inc Tech will not be responsible for delays or failure to perform caused by circumstances reasonably beyond its control.
These circumstances may include natural disasters, power failures, internet or telecommunications outages, cyber incidents, third-party service failures, government actions, strikes or other events that materially affect the ability to provide services.
23. Changes to These Terms
ER Inc Tech may update these Terms & Conditions from time to time.
The updated version will be published on this website with a revised “Last Updated” date.
For existing Projects, the version applicable to the Project may also be determined by the quotation, service agreement or other written arrangement accepted by the Client.
24. Governing Law
These Terms & Conditions are governed by the laws of the Republic of South Africa.
Any dispute will be dealt with in accordance with applicable South African law and the jurisdiction of the appropriate South African courts.
